BiteNow Terms of ServiceEffective Date: August 26, 2026Welcome to BiteNow. These Terms of Service (“Terms”) govern your access to and use of the BiteNow platform (the “Service”), including our mobile applications, websites, restaurant tools, DealDrops, managed services, and related features.By accessing or using BiteNow, creating an account, claiming or managing a restaurant profile, or otherwise using the Service, you agree to these Terms.1. About BiteNowBiteNow is a restaurant discovery and deal platform that connects consumers with participating restaurants and food businesses.Restaurants may use BiteNow to publish time-limited offers (“DealDrops”), weekly specials, promotions, announcements, and other restaurant information.BiteNow may also provide optional services including managed restaurant profiles, delivery integrations, promoted placement, advertising, marketing services, and other premium features.BiteNow is not a restaurant, food provider, reservation service, or guarantee of customers, sales, revenue, redemptions, or business results.2. General UseYou agree to use BiteNow only for lawful purposes and in accordance with these Terms.You may not:* Abuse, exploit, manipulate, or fraudulently redeem deals;
* Create multiple accounts for the purpose of bypassing restrictions;
* Provide false or misleading information;
* Interfere with the operation or security of the Service;
* Attempt to gain unauthorized access to accounts, systems, or data;
* Use automated systems, bots, scraping tools, or similar technologies to access or extract information from BiteNow without authorization;
* Use BiteNow in a manner that could harm BiteNow, participating restaurants, users, or third parties.
BiteNow may restrict, suspend, or terminate access to the Service where we reasonably believe these Terms have been violated or the Service is being misused.3. User Terms3.1 DealDrops and Restaurant OffersDealDrops and other restaurant promotions may be:* Time-limited;
* Quantity-limited;
* Location-specific;
* Subject to availability;
* Modified, paused, or removed.
Restaurants determine the terms and availability of their offers.Unless otherwise stated, users may only have one active DealDrop at a time.A DealDrop may expire or become unavailable before a user attempts to redeem it.3.2 RedemptionWhere QR redemption is required, users must present a valid BiteNow QR code before the applicable DealDrop expires.Each QR code represents one eligible user unless otherwise specified in the offer.Where multiple users wish to redeem an offer, each user may be required to present their own valid QR code.Users must comply with any additional conditions clearly stated in the DealDrop.3.3 Restaurant ResponsibilityParticipating restaurants are independent businesses.BiteNow does not control and is not responsible for:* Food preparation or quality;
* Restaurant service;
* Restaurant hours;
* Product availability;
* Allergens or dietary information;
* Restaurant pricing outside the applicable offer;
* The overall customer experience;
* A restaurant’s refusal to provide service where a deal is invalid, expired, unavailable, or being misused.
Questions or disputes concerning restaurant products or services should generally be resolved directly with the restaurant.3.4 Abuse and FraudBiteNow may restrict, suspend, or permanently terminate accounts where we reasonably believe there has been:* Deal manipulation;
* Fraudulent redemption;
* Creation of duplicate accounts to circumvent restrictions;
* QR code sharing or manipulation;
* Automated activity;
* Abuse of restaurant promotions; or
* Other conduct inconsistent with the intended use of BiteNow.
4. Restaurant Terms4.1 Restaurant ProfilesRestaurants may create and manage their own BiteNow profiles.BiteNow may also create preliminary or draft restaurant profiles using publicly available information, information supplied by the restaurant, or information supplied by an authorized representative.A draft profile may include information such as:* Restaurant name;
* Address;
* Contact information;
* Business hours;
* Logo;
* Images;
* Restaurant description;
* Categories;
* Menu information;
* Publicly advertised specials.
BiteNow will not knowingly publish a DealDrop purporting to be authorized by a restaurant without the restaurant’s authorization.An authorized restaurant owner, manager, or representative may claim or take control of an eligible restaurant profile.BiteNow may require reasonable verification that a person claiming or managing a restaurant profile has authority to act on behalf of that restaurant.4.2 Restaurant Content and OffersRestaurants may use BiteNow to publish:* DealDrops;
* Weekly specials;
* Existing restaurant promotions;
* In-store specials;
* Announcements;
* Events;
* Menu promotions;
* Other restaurant-related content.
Unless explicitly identified as an exclusive BiteNow offer, restaurant promotions are not required to be exclusive to BiteNow.A restaurant may publish an existing in-store or publicly advertised special on BiteNow.Restaurants remain responsible for ensuring that information associated with their restaurant and offers is accurate and current.4.3 Restaurant ObligationsRestaurants are responsible for:* The accuracy of their offers;
* Prices and discounts;
* Availability;
* Redemption limits;
* Applicable dates and times;
* Product descriptions;
* Any restrictions associated with an offer;
* Honouring valid DealDrops according to the terms displayed to the user.
Where an offer allows individual redemption, restaurants must honour each valid redemption in accordance with the terms displayed in that offer.Restaurants are responsible for complying with all laws and regulations applicable to their business, advertising, promotions, food service, pricing, taxes, and customer transactions.5. BiteNow ManagedBiteNow may offer an optional managed service (“BiteNow Managed”).Under BiteNow Managed, BiteNow or its authorized representatives may assist a restaurant with activities including:* Creating DealDrops;
* Updating DealDrops;
* Scheduling promotions;
* Adding weekly specials;
* Updating restaurant information;
* Maintaining restaurant profiles;
* Uploading restaurant-supplied or authorized content;
* Reviewing performance;
* Optimizing the restaurant’s use of BiteNow.
Restaurants using BiteNow Managed authorize BiteNow to make agreed-upon changes to their BiteNow profile and promotional content on their behalf.The restaurant remains responsible for the accuracy, availability, pricing, restrictions, and fulfilment of any offer it provides, instructs BiteNow to publish, or approves for publication.Restaurants should promptly notify BiteNow if information or an offer becomes inaccurate or unavailable.BiteNow Managed may be offered for a monthly fee or under promotional, introductory, complimentary, or other pricing arrangements.Current pricing and features will be disclosed before a restaurant purchases the service.Unless otherwise stated at purchase, paid managed services may be cancelled at any time and do not require a long-term commitment.6. Free and Paid ServicesBiteNow may provide certain restaurant features without a monthly subscription fee.BiteNow may also offer optional paid products or services, including but not limited to:* BiteNow Managed;
* Promoted DealDrops;
* Sponsored placement;
* Featured restaurant placement;
* Advertising;
* Marketing campaigns;
* Premium analytics;
* Premium restaurant tools;
* Delivery-related services;
* Consumer premium features;
* Other optional products or services.
The availability and pricing of free and paid features may change over time.Unless BiteNow expressly agrees otherwise in writing, providing a feature without charge does not guarantee that the feature, or all future features, will remain free indefinitely.Any applicable price will be disclosed before a user or restaurant purchases a paid service.7. Payments, Billing and CancellationsWhere BiteNow charges for an optional service, payment may be processed through third-party payment providers such as Stripe, Apple, Google, or other payment processors.By purchasing a paid service, you authorize the applicable payment provider to process the charges disclosed at purchase.For recurring services:* Applicable pricing and billing frequency will be disclosed before purchase;
* Subscriptions may be cancelled in accordance with the cancellation options provided;
* Unless otherwise stated, cancellation prevents future renewal but does not automatically refund amounts already paid.
Payments are non-refundable except where otherwise stated by BiteNow or required by applicable law.BiteNow may offer promotional, introductory, complimentary, discounted, or trial periods at its discretion.8. Third-Party Ordering and Delivery ServicesBiteNow may allow users to access ordering, payment, delivery, or other services operated by third parties.When a user leaves BiteNow or is redirected to a third-party service, the transaction may be governed by that third party’s terms, privacy policy, refund policy, and other applicable conditions.BiteNow does not control and is not responsible for third-party:* Ordering systems;
* Payment processing;
* Delivery;
* Drivers or couriers;
* Delivery times;
* Order accuracy;
* Cancellations;
* Refunds;
* Service availability; or
* Technical failures.
BiteNow may receive referral fees, commissions, revenue shares, advertising revenue, or other compensation arising from certain third-party services or transactions.Unless expressly stated otherwise, BiteNow is not the seller, restaurant, courier, or delivery provider in a third-party transaction.9. Restaurant and User ContentUsers and restaurants may provide BiteNow with content including images, logos, descriptions, menu information, promotions, reviews, text, and other materials (“Content”).You retain ownership of Content you own.By submitting, uploading, providing, or authorizing BiteNow to use Content, you grant BiteNow a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, modify, format, distribute, and promote that Content as reasonably necessary to:* Operate BiteNow;
* Display restaurant profiles and offers;
* Promote participating restaurants and DealDrops;
* Market BiteNow;
* Provide BiteNow Managed;
* Improve the Service.
You represent that you have the necessary rights or permission to provide the Content and authorize its use.This licence ends when the Content is removed from BiteNow, except where continued use is reasonably necessary for legal, archival, security, or previously created marketing purposes.10. Analytics and Platform DataBiteNow may collect and analyze information relating to use of the Service, including:* Deal views;
* Claims;
* Redemptions;
* Favourites;
* Followers;
* Restaurant activity;
* Engagement;
* Geographic activity;
* Search activity;
* Delivery activity;
* Promotion performance;
* Other platform interactions.
BiteNow may use this information to operate, secure, analyze, improve, personalize, market, and develop the Service, subject to applicable law and the BiteNow Privacy Policy.BiteNow may also create aggregated or de-identified statistics and insights that do not reasonably identify an individual and may use or disclose those statistics for legitimate business purposes, including analytics, research, market insights, advertising, and business development, subject to applicable law.Personal information will be handled in accordance with the BiteNow Privacy Policy and applicable privacy laws.11. Intellectual PropertyExcept for Content owned by users, restaurants, or third parties, BiteNow and its licensors own all rights in the Service, including:* BiteNow branding;
* Software;
* Platform design;
* Graphics;
* Features;
* Databases;
* Technology;
* Trademarks;
* Copyrighted materials.
Nothing in these Terms transfers ownership of BiteNow intellectual property to a user or restaurant.You may not copy, reproduce, reverse engineer, sell, license, or commercially exploit BiteNow’s proprietary technology or materials except as permitted by law or expressly authorized by BiteNow.12. Location and Service AvailabilityBiteNow’s availability and level of activity may vary by geographic area.BiteNow does not guarantee:* A minimum number of users;
* Restaurant traffic;
* Deal visibility;
* Claims;
* Redemptions;
* Revenue;
* Delivery orders;
* Followers;
* Customer acquisition;
* Market activity in any particular location.
Results may vary significantly between restaurants, offers, locations, and time periods.13. No Guarantee of Business ResultsBiteNow provides marketing, discovery, promotional, and related technology services.BiteNow does not guarantee that participation will result in:* New customers;
* Increased sales;
* Increased revenue;
* Increased profitability;
* Specific redemption levels;
* Increased restaurant traffic; or
* Any particular return on investment.
Restaurants remain responsible for their own business and marketing decisions.14. Suspension and TerminationUsers and restaurants may stop using BiteNow at any time.BiteNow may suspend, restrict, or terminate access to the Service where reasonably necessary, including where:* These Terms are violated;
* Fraud or abuse is suspected;
* A restaurant repeatedly refuses to honour valid offers;
* False or misleading information is provided;
* Continued access could harm BiteNow, users, restaurants, or third parties;
* Required by law.
Where practical and appropriate, BiteNow may provide notice before termination, but immediate action may be taken where reasonably necessary.15. Third-Party Services and LinksBiteNow may contain links to or integrations with third-party websites, applications, payment providers, delivery services, maps, social networks, and other services.BiteNow does not control those services and is not responsible for their availability, content, security, privacy practices, or performance.Use of third-party services may be governed by separate terms and policies.16. Limitation of LiabilityTo the fullest extent permitted by applicable law, BiteNow and its directors, officers, employees, contractors, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the Service.This includes, without limitation:* Lost revenue;
* Lost profits;
* Lost business opportunities;
* Missed customers;
* Unavailable or expired offers;
* Restaurant disputes;
* Third-party delivery or ordering issues;
* Service interruptions;
* Loss of data.
The Service is provided on an “as is” and “as available” basis.Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.17. IndemnificationTo the extent permitted by law, restaurants agree to indemnify and hold harmless BiteNow and its directors, officers, employees, contractors, affiliates, and representatives from third-party claims, damages, losses, liabilities, and reasonable costs arising from:* Restaurant products or services;
* Restaurant Content;
* Offers or promotions authorized by the restaurant;
* Failure to honour a valid restaurant offer;
* Violation of applicable law by the restaurant;
* The restaurant’s breach of these Terms.
This section does not require a restaurant to indemnify BiteNow for losses caused solely by BiteNow’s own unlawful conduct or negligence where such liability cannot legally be excluded.18. Changes to BiteNowBiteNow may add, modify, suspend, or discontinue features of the Service.This may include changes to:* Features;
* Functionality;
* Geographic availability;
* Free services;
* Premium services;
* Advertising;
* Integrations;
* Pricing.
Where required by applicable law, BiteNow will provide appropriate notice of material changes.

19. Changes to These TermsBiteNow may update these Terms from time to time.When material changes are made, BiteNow may provide notice through the Service, by email, or through another reasonable method.Where required by applicable law, BiteNow may request renewed acceptance of updated Terms.The effective date shown at the top of these Terms indicates when the current version became effective.20. PrivacyUse of BiteNow is also governed by the BiteNow Privacy Policy:https://bitenowprivacy.carrd.coThe Privacy Policy explains how BiteNow collects, uses, stores, and discloses personal information.21. Governing LawThese Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.Subject to any rights that cannot legally be waived, disputes relating to these Terms or the Service will be subject to the jurisdiction of the courts of Ontario.22. SeverabilityIf any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.23. Entire AgreementThese Terms, together with the BiteNow Privacy Policy and any additional terms presented when purchasing or using a specific paid service, constitute the agreement between you and BiteNow concerning use of the Service.24.
